Important Notice: New Mandatory Obligations for All Companies in Montenegro

As of 1 January 2026, Montenegro has implemented significant legislative changes through the adoption of the new Accounting Law, the Law on Business Organizations, and the Law on the Prevention of Money Laundering and Terrorist Financing.

These regulations introduce mandatory compliance obligations for all legal entities operating in Montenegro. If your company is already registered, action is required to ensure full compliance with the new legal framework.

Below is a clear overview of what must be done, and how we can support you throughout the process

Mandatory Compliance Requirements

1. Alignment of Corporate and Accounting Documentation

All companies must align their internal and statutory documents with the new legislation. This process includes:

  • Alignment of the Articles of Association with updated legal requirements

  • Preparation of the Accounting Rulebook and related internal decisions

  • Submission of all documents to the Central Register of Business Entities (CRPS)

2. Update of the Register of Beneficial Owners (RBO)

Any changes to corporate acts trigger a mandatory update of the Register of Beneficial Owners. This includes:

  • Preparation of updated RBO documentation

  • Electronic submission of data to the RBO system

Key Deadline

The statutory deadline for submitting all required compliance documentation is:

31 March 2026

However, if you are not permanently based in Montenegro, we strongly recommend completing the procedure during February 2026. This helps avoid last-minute technical issues, administrative delays, or exposure to penalties.

Fines For Non-Compliance

Fines for non-compliance range from EUR 1,000 to EUR 20,000 per legal entity

Independent Compliance vs. Engaging an Agency

You are legally permitted to complete these procedures independently. This would require you to:

  • Arrange professional legal drafting of all required documents

  • Obtain a valid digital certificate

  • Navigate and submit filings through relevant government e-portals
